Welcome to Retail Alliances, Inc., a Delaware corporation (“we,” “us,” “our”) operating an online retail platform and website (collectively, the “Services”), primarily serving customers in Vietnam. By accessing or using our website at https://retailalliances.com (the “Website”) or our mobile/online application platform (the “Platform”), you agree to be bound by these Terms & Conditions (the “Terms”).
If you do not agree to these Terms, please stop using the Services immediately. We reserve the right to modify or update these Terms at any time. The most current version will be posted on our Website, and your continued use of the Services constitutes acceptance of any changes.
1.1 Age Requirement
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement.
1.2 Jurisdiction
Our Services are currently targeted at users in Vietnam, though we are a Delaware corporation and host our application on U.S. data centers. If you reside outside Vietnam, you are solely responsible for compliance with local laws, and we may limit access based on geographic location.
2.1 Account Creation
You may be required to create an account to access certain features of the Platform. You agree to provide accurate and complete information during signup and to update it if it changes.
2.2 Account Security
You are responsible for all activities under your account and must keep your username and password confidential. If you suspect unauthorized use of your account, please notify us immediately at support@retailalliances.com.
3.1 General Overview
We provide technology to manage and streamline retail operations, including inventory tracking, order management, and related features (the “Platform”). We may also provide informational content, product listings, or other features on our Website.
3.2 Service Evolution
We continuously develop and improve our Services. Features, data collection practices, and functionality may change over time; we will endeavor to communicate significant changes in a timely manner.
3.3 No External Developer API (Yet)
Currently, we do not offer an open API for external developers. If or when such an API is introduced, we will update these Terms or provide a separate terms document.
4.1 Lawful Use
You agree to use the Services in compliance with applicable laws and regulations, including (where relevant) U.S. and Vietnamese laws.
4.2 Prohibited Activities
You will not:
Violate any applicable law, regulation, or third-party rights.
Interfere with or disrupt the Services or servers/networks connected to the Services.
Submit false information or engage in fraudulent or deceptive activities.
Attempt to access or scrape data without authorization or by automated means (bots, crawlers, etc.).
5.1 Ownership
We (or our licensors) own all rights, title, and interest, including intellectual property rights, in the Services, including the Website, Platform, and underlying software, unless otherwise stated.
5.2 Limited License
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Services for personal or internal business purposes only.
5.3 Trademarks
All trademarks, logos, service marks displayed on the Services are our property or the property of third parties. You may not use these marks without prior written permission.

USE OF THE SERVICES IS AT YOUR OWN RISK.
We provide the Services on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied. This includes warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will be uninterrupted, error-free, or secure.
We do not guarantee the accuracy, reliability, or completeness of any data or information provided through the Services.
To the fullest extent permitted by law:
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services.
Our total liability for direct damages will not exceed the amount you paid us for the specific Service in the six (6) months prior to the event giving rise to liability (or USD $100 if no fee was paid).
You agree to indemnify and hold harmless Retail Alliances, Inc., its officers, directors, employees, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your:
Violation of these Terms,
Violation of any law or regulation, and
Use of the Services.
11.1 Changes to the Services
We reserve the right to modify or discontinue any part of the Services at any time, with or without notice.
11.2 Termination by You
You may stop using the Services at any time. If you have an account, you can request deletion via support@retailalliances.com.
11.3 Termination by Us
We may suspend or terminate your access to the Services if we believe you violated these Terms or if necessary to comply with law or protect our rights.
12.1 Governing Law
These Terms and your use of the Services will be governed by and construed in accordance with Delaware law, without regard to conflict-of-law principles, unless otherwise required by local law in Vietnam.
12.2 Venue
Any dispute arising from or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware, USA, unless local law in Vietnam requires otherwise.
13.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Retail Alliances, Inc. regarding the Services and supersede any prior agreements.
13.2 Severability
If any provision of these Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.
13.3 No Waiver
Our failure to enforce any provision of these Terms does not waive our right to do so later.
13.4 Assignment
You may not assign or transfer these Terms or any rights or obligations herein without our prior written consent. We may freely assign our rights and obligations under these Terms at our sole discretion.
